Screening License Terms & Conditions

Effective Date: Upon purchase or booking of a screening license

These Screening License Terms & Conditions (“Terms”) constitute a legally binding agreement between Step Forward Films, Ltd., (“Producer”) and the individual or organization purchasing or booking a screening license (“Licensee”).

BY PURCHASING, BOOKING, OR OTHERWISE CONFIRMING A SCREENING LICENSE FOR THE FILM “ADAPTED” (THE “FILM”), LICENSEE AGREES TO BE BOUND BY THESE TERMS.

Any screening details submitted or confirmed via booking form, invoice, or confirmation email (the “Screening Confirmation”) are incorporated into and governed by these Terms.

1. GRANT OF LICENSE

1.1 Limited License
Producer grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to publicly exhibit the Film in accordance with the screening type, format, and usage scope selected at the time of purchase or as otherwise approved in writing by Producer.

1.2 Single License Scope
Unless otherwise agreed in writing, each license permits a single screening engagement or limited-use right as defined at the time of purchase. Any additional screenings, repeat exhibitions, broadcasts, livestreams, or expanded usage require a separate license.

1.3 No Ownership
All rights in the Film and related materials remain the exclusive property of Producer and its licensors. No ownership rights are transferred.

2. USE RESTRICTIONS

Licensee shall not:

  • record, photograph, copy, or reproduce the Film
  • livestream, broadcast, or digitally distribute the Film
  • upload or share any portion of the Film online
  • create derivative works or edits

The Film may only be exhibited in person, unless expressly authorized in writing.

3. LICENSEE RESPONSIBILITIES

Licensee is solely responsible for:

  • venue, equipment, staffing, and logistics
  • compliance with all laws, including ADA requirements
  • preventing unauthorized recording
  • maintaining appropriate insurance
  • ensuring event safety

4. PRODUCER SUPPORT

Upon receipt of full payment, and if Licensee requests, Producer will provide:

  • access to the Film in the agreed format
  • approved marketing materials to support the event
  • reasonable technical support

5. MARKETING & PROMOTION

Licensee may promote the screening using Producer-provided materials or derivatives thereof.

Licensee shall not:

  • alter promotional materials
  • imply endorsement beyond the screening
  • use Film assets without approval

All promotional materials must be approved by Producer prior to release.

6. FEES & PAYMENT

6.1 License Fees
Fees are based on attendance and event type as communicated during booking or invoicing.

6.2 Payment Terms

  • Full payment is required before delivery
  • All payments are non-refundable
  • Additional fees may apply if attendance exceeds the selected tier

6.3 No Cancellation / No Refund Policy
ALL LICENSE PURCHASES ARE FINAL.
Licensee acknowledges and agrees that:

  • no cancellations are permitted once a license is purchased or confirmed
  • no refunds, credits, or exchanges will be issued under any circumstances, including but not limited to:
    • event cancellation
    • low attendance
    • scheduling conflicts
    • venue issues
    • technical issues outside Producer’s control

6.4 Attendance Reporting

Licensee agrees to provide accurate attendance estimates and actual attendance upon request. Additional fees may apply if actual attendance exceeds the licensed tier.

7. DELIVERY & ACCESS

7.1 Primary Delivery via Eventive
The Film will be delivered primarily through the Eventive platform via a secure streaming link.

7.2 Access Window
Upon purchase, Licensee will have ninety (90) days to access the Film.

7.3 Viewing Period
Once Licensee initiates playback of the Film, the secure streaming link will remain active for forty-eight (48) hours, after which access will automatically expire.

7.4 Alternate Delivery Formats
If Licensee intends to exhibit the Film at a theater or venue that cannot accommodate streaming playback, Producer may, at its sole discretion, provide the Film in an alternate format, including but not limited to:

  • DCP
  • MP4 file

7.5 Security and Deletion Obligations
Licensee agrees that:

  • all digital files, physical media, and access credentials are strictly confidential
  • such materials shall be used solely for the licensed screening
  • all files must be permanently deleted or destroyed immediately following the screening

Under no circumstances may Licensee copy, duplicate, distribute, or share the Film or any provided materials with any third party.

8. INTELLECTUAL PROPERTY

All copyrights, trademarks, and related rights remain with Producer. Unauthorized use constitutes infringement and may result in legal action.

9. INDEMNIFICATION

Licensee agrees to indemnify and hold harmless Producer from any claims arising from:

  • breach of these Terms
  • the screening event
  • venue-related incidents
  • violation of law
  • unauthorized use of the Film

10. LIMITATION OF LIABILITY

Producer’s total liability shall not exceed the license fee paid.

Producer shall not be liable for any indirect, incidental, or consequential damages.

  1. TERMINATION

Producer may terminate this license immediately if Licensee:

  • breaches these Terms
  • engages in unauthorized copying or distribution

Upon termination, Licensee must immediately cease all use and delete all materials.

12. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of Washington.

All disputes shall be resolved by binding arbitration in King County, Washington, except that Producer may seek injunctive relief in court for intellectual property violations.

13. GENERAL TERMS

  • Licensee may not assign this license
  • These Terms constitute the entire agreement
  • Any modifications must be in writing
  • If any provision is invalid, the remainder remains enforceable

14. ACCEPTANCE

By purchasing, booking, or otherwise confirming a screening license, Licensee acknowledges that they have read, understood, and agree to these Terms & Conditions.
